Terms and Conditions

These Terms and Conditions (“Terms”) govern all services provided by Sproutdev, a trading name of Kamil Bublis, sole trader based in Buckingham, UK (“we”, “us”, “our”), to any client (“you”, “your”). By commissioning, purchasing, or using our services, you agree to these Terms.
1. Services
Sproutdev provides website design and development, WordPress and WooCommerce builds, Local SEO, hosting, maintenance, and related consulting. Any additional work will be quoted and agreed in writing before starting.
2. Quotations and Proposals
All quotes and proposals are valid for 30 days from the date issued. Acceptance must be in writing (email is acceptable). Once accepted, a project timeline and payment schedule will be confirmed.
3. Payments
- Projects require a 50 % deposit before work begins and the remaining 50 % before launch, unless otherwise stated.
- Monthly care and hosting plans are billed in advance and are payable by bank transfer or other agreed method.
- Late payments may incur interest at 4 % above the Bank of England base rate after 14 days of non-payment.
- We reserve the right to suspend work or services until overdue balances are cleared.
4. Client Responsibilities
You agree to provide all required materials (text, images, access credentials, etc.) in a timely manner. Delays in providing content or feedback may extend the project schedule. You are responsible for ensuring that all materials supplied do not infringe copyright, trademarks, or any other rights of third parties.
5. Intellectual Property
- All intellectual property in code, layouts, and design remains our property until full payment is received.
- Upon full payment, ownership of the finished website (excluding third-party plugins, frameworks, or licensed tools) is transferred to you.
- You retain ownership of all logos, images, and text you supply.
- We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
6. Hosting, Maintenance, and Support
- Hosting and maintenance plans are provided on a rolling monthly basis and can be cancelled at any time with 14 days’ notice.
- No refunds are issued for partially used months.
- We perform updates, backups, and monitoring with reasonable care but cannot guarantee uninterrupted uptime or absolute security.
- Support is available by email or WhatsApp during standard UK business hours, unless otherwise agreed.
7. Domains and Email
Domain names and email accounts registered by us on your behalf remain your property once paid in full. You are responsible for renewals, DNS changes, and any associated third-party service fees unless included in your plan.
8. Cancellations and Project Termination
- Either party may terminate a project in writing if the other breaches these Terms and fails to correct the breach within 14 days of notice.
- If you cancel before completion, work completed up to that point will be invoiced and payable immediately.
- Projects paused for more than 30 days without client response may be closed, and the balance will become due.
9. Liability
We shall not be liable for any indirect, incidental, or consequential loss, including loss of profits, revenue, or business opportunities, arising out of or in connection with the services provided. Our total liability shall not exceed the total fees paid by you for the specific project or service giving rise to the claim.
10. Third-Party Services
We may use third-party providers (such as hosting companies, payment processors, or plugin developers). We are not responsible for the reliability, availability, or performance of these third parties. You agree to be bound by their respective terms of service where applicable.
11. Confidentiality
Both parties agree to keep confidential any business or technical information disclosed during the project and to use such information solely for the purposes of fulfilling the agreement.
12. Data Protection
We comply with UK data-protection laws. Personal data shared with us is used only for providing services and will not be sold or shared with third parties except as required to deliver the contracted work. See our Privacy Policy for more details.
13. Force Majeure
We shall not be liable for any delay or failure in performing our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, power failures, internet outages, or industrial disputes.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
